Terms of Service

Effective date: September 27, 2026 · Dipole ML, Inc. ("Dipole ML", "we", "us")

These Terms govern your access to and use of the dipoleml.com website (the "Website"), the DCode development environment (the "App"), the Raven API (the "API"), and related Dipole ML accounts and services (together, the "Services"). By creating an account or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind it.

1. Accounts

Accounts are created by signing in with Google or Apple. You are responsible for the security of your provider account, your API keys, and all activity under your account. Notify us immediately of unauthorized use. You must be at least 13 years old (or the minimum age in your jurisdiction) to use the Services.

2. The Services; beta features

DCode provides AI-assisted software development; the API provides access to the Raven model family. Features may change as the Services evolve. Beta or pre-release features are provided for evaluation and may be modified or discontinued.

3. Acceptable use

You agree not to:

• use the Services for unlawful, harmful, fraudulent, or infringing purposes;
• generate or distribute malware, or content that harms minors;
• circumvent rate limits or quotas, share or resell API access, or use the API to build a competing reseller service without our written consent;
• probe, scan, or interfere with the Services or other users;
• misrepresent AI-generated content as human review where that matters (e.g., legal, medical, or financial advice).

We may suspend or terminate accounts that violate these rules or applicable law.

4. Subscriptions and billing

Paid plans are billed through our payment processor, Stripe, on a recurring basis until cancelled. Fees are stated at sign-up and exclude applicable taxes. You can cancel any time; cancellation takes effect at the end of the current billing period. Refunds are at our discretion, except where required by law. We may change plan pricing with prospective notice.

5. User content

You retain ownership of content you submit through the Services ("User Content"). You grant us a limited license to process User Content solely to provide and operate the Services (including transmitting it to model inference providers). You are responsible for having the rights to the content you submit. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or attribution.

6. DCode availability

The App is distributed by Dipole ML and includes software licensed under open-source licenses (including Apache License 2.0 components). Those licenses govern the respective components, and nothing in these Terms restricts your rights under them.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated output may be inaccurate or incomplete; you are responsible for reviewing output before relying on it, particularly in production code.

8. Limitation of liability

To the maximum extent permitted by law, Dipole ML, Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Services is limited to the greater of (a) the amounts you paid us in the 12 months before the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations; in that case these limits apply to the fullest extent permitted.

9. Indemnification

You agree to indemnify and hold harmless Dipole ML, Inc. from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Services in violation of these Terms or applicable law.

10. Termination

You may stop using the Services and delete your account at any time. We may suspend or terminate access for violation of these Terms, unlawful use, or risk to other users, with notice where practicable. Sections that by their nature should survive (including 5, 7, 8, and 9) survive termination.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The parties will first attempt to resolve any dispute informally; the courts of Ontario have exclusive jurisdiction otherwise, subject to mandatory consumer protections in your place of residence.

12. Changes to these Terms

We may update these Terms. For material changes we will provide advance notice (for example, by email or notice on the Website) before they take effect. Continued use after the effective date constitutes acceptance.
